Terms of Agreement:
In consideration of mutual promises and obligations set forth herein, the parties agree as follows:
•This AGREEMENT constitutes the entire understanding of the parties and no representation or agreements, including oral made prior to its execution, shall vary or modify the terms herein. Any amendment, modification or alteration of this Agreement shall be in writing and shall be effective only after the approval of ARIZONA ACTOR’S ACADEMY/HOTCHNER STUDIOS LLC. 
•Client company shall defend, indemnify and hold harmless ARIZONA ACTOR’S ACADEMY/HOTCHNER STUDIOS LLC or its employees and/or directors from all damages, claims or liabilities and expenses (including attorney fees) arising out of or resulting in any way from any error, omission, or negligent act of the Vendor. 
•Client Company is responsible for its own event participants liability and compensation coverage. Further, Client will not be covered under ARIZONA ACTOR’S ACADEMY/HOTCHNER STUDIOS LLC liability and compensation policy if any participants are injured while participating in this event. 
•This Agreement shall be governed and interpreted according to the laws of the United States, the State of Arizona and applicable ordinances and regulations including those relating to equal opportunity and nondiscrimination. 
•This Agreement or the obligations hereunder cannot be assigned or transferred in whole or in part.
•Personal Appearance: The Vendor will display an appearance and manner appropriate with the mood and theme of the event being held. Any special dress or appearance requirements outside of the accepted norm will be discussed in advance between the Client and the Vendor.

Optional Waiver:
Please check this waiver if you will permit use of you or your employees/partners/associates image as described below. If you do not check this waiver, we will not use you or your employees/partners/associates image. I understand that Arizona Actors Academy/Theatre Upstairs (Hotchner Studios LLC) is a non-profit organization that promotes acting as an art form and the applications of it's principles to benefit everyday life not only to it's students, but also to the community at large. As such, articles, brochures, videos and websites may be used either promotionally or educationally and may include images of Arizona Actors Academy/Theatre Upstairs (Hotchner Studios LLC) students or other participants in our programs. I hereby permit the use of my, or my employees/partners/associates' image to be photographed, videotaped or otherwise recorded for the use in Arizona Actors Academy/Theatre Upstairs (Hotchner Studios LLC) publicity or educational materials. These materials include, but are not limited to, photographs of workshops, newsletters, examples for future clients, various other publications for promotional or communication purposes, Arizona Actors Academy/Theatre Upstairs (Hotchner Studios LLC) internet webpage and video of classes.

Terms & Conditions of Payment:
• DEPOSIT If you book more than 30 days in advance of your event a deposit of 20% or minimum of $100.00 of the total cost will be due upon agreement of event to lock in your instructor/coach, date of event and location if provided by AZAA. This deposit payment is non-refundable.
• PAYMENT A digital invoice of the full cost or remaining balance will be emailed and is easily paid at your own convenience. Payment should be received by the agreed upon due date (14 days before your event) to confirm your scheduled workshop and your instructor/coach.
• REGISTRATION You are required to complete the form and signify your agreement to payment policies, and waiver of liability. Please notify us, of any changes in contact information specifically in regards to who should receive invoicing.
• INCLEMENT WEATHER OR INSTRUCTOR EMERGENCY In the event of inclement weather or emergency, we will send email notifications if our scheduled event has to be cancelled. Any cancelled events will be rescheduled with ample time to adjust and fit your schedule.
• CANCELLATION POLICY Cancellation of event after payment within seven days of the scheduled date will not receive a refund of payment. Cancellation within 30 days before the event after payment will get a 50% refund of all payments made over the deposit. The deposit payment is non-refundable.
• ESTIMATED PRICE The rates agreed upon are subject to change for future inquiries.

Waiver of Liability
As a participant in any program or class at Arizona Actors Academy/Theatre Upstairs (Hotchner Studios LLC), understand and agree that in participating in any acting/voice/movement class, workshop, rehearsal or performance, there is a possibility of physical injury or death. I recognize and acknowledge there are certain risks of physical injury, and I agree to assume the full risk of injuries, including death, damages or loss that my minor child may sustain as a result of participating in any activities connected with or associated with such program or class. I agree to waive and relinquish all claims my minor child may have as a result of participating in any program or class against Arizona Actors Academy/Theatre Upstairs. (Hotchner Studios LLC) and its officers, agents, servants, employees and independent contractors. I further agree to indemnify and hold harmless and defend Arizona Actors Academy/Theatre Upstairs (Hotchner Studios LLC) and it's officers, agents, servants, employees an independent contractors from my claims resulting from injuries including death, damages and losses sustained by me or my minor child that arise out of, in connection with, or in any way associated with the activities of this program.
